By clicking below, you acknowledge that you have requested Inflection Capital Management (hereinafter "ICM" or "Firm") to provide certain consulting services to you in the form of an Inflection plan (the "Engagement"). You will not be charged for these services, but as part of the Engagement, and in order for ICM to perform these services effectively, ICM needs to provide you with certain disclosures and detail the foundation of your relationship with the firm. The following provisions shall form the basis of your Engagement with ICM.
As part of your request, the Firm shall be retained to provide the following services:
- Inflection plan
The Firm is neither an accounting firm nor a law firm. Services provided by ICM under this Engagement should not be construed as legal or accounting services or a recommendation of any particular security or investment strategy. Prospects who request an Inflection plan are under no obligation to enter into a formal agreement with ICM to receive investment advisory services. The Inflection plan you have requested is being provided to you for informational and illustrative purposes only.
As part of this Engagement, you will provide ICM with financial materials and other related documentation which will form the basis of the Inflection plan. These materials include, but are not limited to, your equity position details and any supporting statements you choose to provide.
You shall not owe any fee to ICM for delivery of the services under this Engagement. Should you determine at any time that you would like to engage ICM outside of the receipt of the Inflection plan, the terms of that relationship and any associated fees will be subject to the terms of a separate agreement.
The information provided to you in the Inflection plan has been derived from proprietary and non-proprietary sources deemed by ICM to be reliable and are not necessarily all inclusive. ICM does not guarantee the accuracy or completeness of this information and accepts no liability or responsibility for inaccurate data provided by third parties. Reliance upon information in this document is at the sole discretion and risk of the recipient.
ICM expressly disclaims, to the maximum extent permissible under applicable law and regulation, any and all liability or responsibility for any losses or damages, whether direct, indirect, special, punitive, consequential (including lost profits) or any other losses or damages even if notified of the possibility of such losses or damages, arising from the use of, or reliance on, the information provided through this Engagement.

Any claim or controversy that arises out of or relates to this Engagement, or the breach of it, shall be settled by arbitration in accordance with the rules of the American Arbitration Association, with the state of California being the agreed venue for any arbitration. Judgment upon the award rendered may be entered in any court with jurisdiction. The laws of the state of California shall govern the interpretation of this Engagement.
If, for any reason, any provision of this Engagement is held invalid, all other provisions of this agreement shall remain in effect. Neither party may assign the Engagement or any of the contemplated services without the consent of the other party. This acknowledgement governs the entire Engagement of the parties. Oral changes have no effect. It may be altered only by a written subsequent agreement signed by the party against whom enforcement of any waiver, change, modification, extension, or discharge is sought.
The parties acknowledge that the terms of this Engagement constitute confidential information and agree not to disclose such terms to any person, firm, corporation, or entity.
